1. Service Description

ClarisTXM is an AI-powered transformation management platform that helps organizations generate professional project management artifacts from source documents. The platform provides tools for:

• Creating and managing project blueprints
• Uploading and analyzing source documents
• Generating AI-powered transformation artifacts across multiple project phases
• Collaborative project workspace with chat-based interactions

2. Account Requirements

To use ClarisTXM, you must create an account and agree to the following requirements:

• Accurate Information: You must provide accurate, current, and complete information during registration and keep your account information up to date.
• Email Verification: You may be required to verify your email address before accessing certain features of the platform.
• Password Security: You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Use a strong, unique password of at least 8 characters.
• Account Responsibility: You must notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree to use ClarisTXM only for lawful, professional purposes. You must not:

• Upload, transmit, or generate any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Use the platform to process or store data that you do not have the legal right to use.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the platform.
• Interfere with, disrupt, or attempt to gain unauthorized access to the platform, its servers, or connected networks.
• Use automated scripts, bots, or scrapers to access or interact with the platform without our prior written consent.
• Resell, sublicense, or commercially redistribute access to the platform without authorization.
• Use the platform to build a competing product or service.

4. AI-Generated Content

• No Warranty of Accuracy: We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.
• User Responsibility: You are solely responsible for reviewing, validating, and editing all AI-generated artifacts before using them in any professional or business context.
• Professional Judgment: AI-generated content does not constitute professional advice (legal, financial, technical, or otherwise). Always apply your own professional judgment and consult qualified professionals as needed.

5. Intellectual Property

Your Content

You retain full ownership of all data, documents, and content that you upload to or create within ClarisTXM. By using the platform, you grant us a limited license to process your content solely for the purpose of providing the service (including sending it to AI providers for artifact generation).

Platform Intellectual Property

ClarisTXM and its original content (excluding user-submitted content), features, functionality, design, source code, algorithms, and documentation are and remain the exclusive property of ClarisTXM and its licensors. The platform is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the platform.

6. Payment Terms

• All payments are processed securely through Stripe. We do not store your credit card information on our servers.
• Subscriptions automatically renew at the end of each billing cycle unless cancelled.
• You can manage your subscription and billing details through the Stripe billing portal, accessible from your Settings page.
• Refunds are handled on a case-by-case basis. Contact us at support@claristxm.com for refund requests.

7. Service Availability

• We strive to provide best-effort uptime and will make commercially reasonable efforts to keep the platform available and operational.
• Planned Maintenance: We will provide reasonable advance notice of planned maintenance windows that may affect service availability.
• No Uptime Guarantee: We do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
• Third-Party Dependencies: Service availability depends in part on third-party AI providers (OpenAI, Anthropic). We are not responsible for outages or degraded performance caused by these providers.

You may delete your account at any time through your Settings page. Upon deletion, your personal data will be removed within 30 days in accordance with our Privacy Policy.

By ClarisTXM

We may suspend or terminate your account if:

• You violate these Terms of Service or the Acceptable Use policy.
• Your use of the platform poses a security risk or may harm other users.
• Required by law or to comply with legal obligations.
• Your account has been inactive for an extended period (we will provide notice).

In the event of termination for cause, we will make reasonable efforts to provide notice and allow you to export your data, except where prohibited by law or where immediate action is required to protect the platform or other users.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of California.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. When we make changes:

• The updated terms will be posted on this page with a revised effective date.
• For material changes, we will notify you via email or an in-app notification at least 30 days before the changes take effect.
• Your continued use of the platform after changes become effective constitutes your acceptance of the revised terms.
• If you do not agree with the revised terms, you must stop using the platform and delete your account.
